These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "user", "client", or "participant") and Wellogin LLC ("we", "us", or "our"), operator of the website https://www.wellogin.com (the "Site") and provider of health & wellness services including coaching, virtual yoga instruction, organized wellness adventures, and related offerings (collectively, the "Services").

By accessing or using the Site, booking any Services, participating in sessions or adventures, making any payment, or otherwise engaging with us, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

2. Description of Services

We offer:

  • Personalized health & wellness coaching (virtual or in-person).

  • Virtual yoga instruction.

  • Organized wellness adventures (e.g., yoga and breath work, cultural retreats, hiking and biking excursions).

  • Related digital content, scheduling, and support.

Services are provided on an as-available basis. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without notice.

3. Medical and Fitness Disclaimer – Important – Read Carefully

The Services, including health & wellness coaching advice, yoga instruction, and wellness adventure activities, are provided for general informational, educational, and inspirational purposes only.

We are not medical professionals, doctors, therapists, registered dietitians, physical therapists, or licensed healthcare providers. Nothing in the Services constitutes medical advice, diagnosis, treatment, or a substitute for professional medical care. We do not treat, cure, prevent, or diagnose any disease, condition, or injury.

Participation in any physical activity (yoga, breath work, hiking, biking, air, land, and water travel) carries inherent risks, including risk of injury, illness, property damage, or death. You acknowledge that you participate at your own risk.

Before beginning any Services—especially if you have any pre-existing medical conditions, injuries, are pregnant, or have not recently consulted a physician—we strongly recommend you obtain clearance from a qualified healthcare professional.

You assume full responsibility for your health, safety, and well-being. We are not liable for any injury, loss, claim, damage, or any adverse health outcome arising from or related to your use of the Services.

4. User Responsibilities and Conduct

You agree to:

  • Provide accurate, current information during booking or intake.

  • Follow all instructions, guidelines, and safety recommendations provided.

  • Notify us immediately of any changes in your health status that may affect participation.

  • Not use the Services for any unlawful purpose or in violation of any applicable law.

  • Respect intellectual property (see Section 8).

  • Not harass, abuse, or interfere with other participants or our staff.

For group adventures: You agree to comply with all rules, behave responsibly, and respect co-participants and environments.

5. Bookings, Payments, and Refunds

  • All bookings are subject to availability and our confirmation.

  • Prices are listed on the Site or quoted directly and may change without notice (changes do not affect confirmed bookings).

  • Payment is due at booking unless otherwise agreed. We use third-party processors (e.g., Stripe); you agree to their terms.

  • Cancellations/Rescheduling:

    • Yoga Instruction: 48-hour notice required prior to scheduled session for 50% refund; late cancellations incur fees and forfeiture of 100% of payment.

    • Coaching Packages: 48-hour notice required prior to first scheduled session for 50% refund of payment. Refunds are not available after completion of first session in coaching package.

    • Wellness Adventures: Stricter policies apply due to planning and travel vendor costs [e.g., hotels, tour guides, food and catering].

      • 60-day notice required prior to first day of wellness adventure for 50% refund.

      • 30-day notice required prior to first day of wellness adventure for 25% refund.

      • Within 30 days prior to first day of wellness adventure, refunds are not available.

6. Liability and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We provide the Services "as is" and "as available" without warranties of any kind (express or implied), including fitness for a particular purpose, non-infringement, or uninterrupted availability.

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, data, or personal injury) arising from or related to the Services, even if advised of the possibility.

  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

  • You agree to indemnify and hold us harmless from claims arising from your breach of these Terms, your conduct, or your participation in Services.

For our wellness adventures involving travel, transportation, exercise, and outdoor activities: Additional risks (weather, terrain, equipment, third-party service providers) apply. We may require separate waivers.

7. Intellectual Property

All content on the Site and in Services (text, graphics, videos, plans, sequences, materials) is owned by us or our licensors and protected by copyright, trademark, and other laws.

You are granted a limited, non-exclusive, non-transferable license to access and use content solely for your personal, non-commercial use during your engagement with us.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display/perform, or commercially exploit any content without our prior written permission.

8. Third-Party Links and Services

The Site may link to or integrate third-party sites/tools (e.g., payment processors, scheduling apps, adventure partners). We are not responsible for their content, practices, or availability. Your interactions are governed by their terms.

9. Termination

We may terminate or suspend your access to Services at any time, without notice, for any reason (including breach of these Terms).

Upon termination, your right to use Services ends immediately. Provisions surviving termination include disclaimers, liability limitations, indemnification, and governing law.

10. Changes to These Terms

We may update these Terms periodically. Changes will be posted here with a revised "Last Updated" date. Material changes will include notice (e.g., email or Site banner). Continued use after changes constitutes acceptance.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of Travis County, Texas, United States, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the courts located in Travis County, Texas, United States. You agree to submit to the personal jurisdiction of such courts.
